1. Agreement to Terms

By accessing or using the website aidletech.inor engaging AidleTech ("we," "us," or "our") for any services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

AidleTech provides digital solutions including but not limited to:

  • Website design and development
  • eCommerce platform development
  • Mobile application development
  • Custom software and admin systems
  • UI/UX design
  • SEO and performance optimisation
  • Ongoing maintenance and support

The specific scope, deliverables, timeline, and pricing for each project are agreed upon separately through a written proposal or contract before work begins.

3. Project Engagement

  • All projects begin only after mutual agreement on scope, timeline, and pricing, confirmed in writing (email or formal proposal).
  • Changes to the agreed scope ("scope creep") may require revised timelines and additional costs, which will be communicated before proceeding.
  • We reserve the right to decline any project that does not align with our expertise or values.

4. Payments

  • Payment terms, milestones, and methods are agreed upon before work begins and outlined in the project proposal.
  • A non-refundable deposit may be required to commence work.
  • Final deliverables are released upon receipt of full payment unless otherwise agreed.
  • Late payments may result in project pausing until the outstanding balance is cleared.

5. Intellectual Property

  • Upon full payment, all custom work (code, design, content created specifically for your project) is transferred to you.
  • We retain the right to use project screenshots, descriptions, and anonymised case studies in our portfolio unless you explicitly request otherwise.
  • Third-party assets (fonts, stock images, plugins, libraries) remain subject to their respective licences.
  • We retain ownership of proprietary tools, frameworks, and reusable code components developed independently.

6. Client Responsibilities

To ensure smooth project delivery, you agree to:

  • Provide required content, assets, access credentials, and feedback in a timely manner.
  • Review deliverables and provide feedback within agreed timeframes.
  • Ensure that all content you provide does not infringe on third-party intellectual property rights.

7. Warranties & Limitations

  • We deliver work to the best of our professional ability and in accordance with agreed specifications.
  • We do not guarantee specific business outcomes such as revenue, traffic, or conversion rates, as these depend on many factors beyond our control.
  • Our services are provided "as is" without warranties of any kind, expressed or implied, beyond the agreed project scope.
  • Our total liability for any claim arising from a project shall not exceed the total amount paid for that project.

8. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement, including business strategies, credentials, and unpublished designs. This obligation survives the termination of the agreement.

9. Termination

  • Either party may terminate a project with written notice.
  • Upon termination, you are responsible for payment of all work completed up to the termination date.
  • Any deliverables completed and paid for will be transferred to you.

10. Website Use

When using our website, you agree not to:

  • Use the website for any unlawful or prohibited purpose.
  • Attempt to gain unauthorised access to our systems or data.
  • Reproduce, distribute, or create derivative works from our website content without permission.
  • Submit false, misleading, or spam content through any form.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Kozhikode, Kerala, India.

12. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes acceptance of the revised terms.
